Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Hyper Chimp Solutions LLC, which operates HyperChimp Solutions (“HyperChimp,” “we,” “us,” or “our”). They govern your access to and use of hyperchimp.comand the tools and forms on it (the “Site”). By using the Site, you accept these Terms.

1. The Site

The Site is the marketing website for HyperChimp Solutions, a Memphis-based web design and development studio. It describes our services, lets you contact us, and offers a free website checkup tool. We may update, change, or remove features at any time.

2. Eligibility and acceptable use

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to engage our services. You agree not to:

  • Use the Site for anything illegal, harmful, deceptive, or infringing;
  • Submit false information, spam, or content you do not have the right to share;
  • Upload malware, attempt to breach security, probe for vulnerabilities without authorization, or interfere with the Site or other users;
  • Scrape, copy, or reuse the Site’s content or code without our consent;
  • Use the free checkup tool to test sites you do not own or have permission to test, or to place an unreasonable load on it.

3. Inquiries and quotes

Contacting us, requesting a quote, or receiving an estimate does not by itself create a contract for services. Any engagement is governed by a separate written agreement, proposal, or statement of work that we and you both accept. Quotes and timelines shared before that point are good-faith estimates, not binding commitments.

4. Free checkup tool

The website checkup is provided for general, informational purposes only and is offered “as is.”It relies on Google’s PageSpeed Insights API and may be incomplete, delayed, or unavailable. Results are not professional advice and should not be your sole basis for a decision.

5. Intellectual property

The Site, including its text, design, branding, logos, and code, is owned by Hyper Chimp Solutions LLC and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to view the Site for your personal or internal business use. All rights not expressly granted are reserved.

6. Third-party services and links

The Site uses and may link to third-party services (for example, our contact form and chat widget run on Visible Office, and the checkup tool uses Google’s PageSpeed Insights). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services and do not endorse linked sites.

7. Disclaimer of warranties

The Site is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or meet your specific requirements.

8. Limitation of liability

To the fullest extent permitted by law, in no event will Hyper Chimp Solutions LLC, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Site. Our total aggregate liability for any claim arising out of or related to the Site is limited to one hundred U.S. dollars (US$100). This section does not limit liability that cannot be limited under applicable law, and it does not affect the separate terms of any signed services agreement.

9. Indemnification

You agree to defend, indemnify, and hold harmless Hyper Chimp Solutions LLC and its affiliates from any third-party claim arising out of (a) your use of the Site in violation of these Terms or applicable law, (b) content you submit through the Site, or (c) your violation of any third party’s rights.

10. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Sacramento County, California, and you consent to personal jurisdiction there. Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual-property rights.

11. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will update the “Effective” date above. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
